Ben helps academic institutions and health care enterprises achieve transformative visions and solve complex challenges against a constantly evolving regulatory backdrop.

Ben structures the transactions that reshape how health care and higher education are delivered and financed, including acquisitions, joint ventures, affiliations, and complex financings for health systems, academic medical centers, universities, and research institutions. He sits at the intersection of law, finance, and technology, regularly advising industry leaders, investors, and policymakers on emerging trends, strategies, and business structures. Ben has extensive experience with tax-exempt and taxable financings and serves as the regular borrower’s counsel for leading institutions across the United States.

Experience

Mergers, Acquisitions, and Affiliations

  • Represented one of the largest public academic health systems in the United States in the acquisition of a hospital, and with multiple joint ventures, including cancer centers and ambulatory surgery centers.
  • Represented a large public academic medical center in connection with restructuring and ultimately unwinding a long-standing affiliation.
  • Advised a large, multistate academic medical center in its acquisition of multiple hospitals and affiliated physician practices in the bankruptcy of a large for-profit hospital operator.
  • Represented a leading dental benefits provider in its $2.5 billion sale to a global financial services company.
  • Represented the nonprofit parent company of a major dental benefits provider in the sale of a minority interest in the benefits provider to a private equity firm. 
  • Represented a diversified Kentucky health system in connection with restating its pediatric academic and clinical affiliations with a prominent public university, as well as acquiring a pediatric faculty practice operated by the university, and developing a comprehensive research collaboration agreement with the university and its affiliates.
  • Represented multiple national senior living enterprises in the acquisitions of communities.
  • Represented a national health insurance and delivery system in the sale of a minority equity investment to a private equity investor.
  • Advised several human service organizations in acquisitions of businesses and properties in bankruptcy.
  • Represented a private equity sponsor in the sale of a nationwide pharmacy services company.

Technology

  • Advised a “Top 10” academic medical center in establishing a platform for developing and commercializing generative AI tools for health systems.
  • Counseled multiple leading academic medical centers and health systems in establishing venture incubators and accelerators, independently or as joint ventures with multiple institutions. 
  • Represented multiple health systems and physician enterprises in establishing nationwide telehealth platforms.
  • Advised several clinical laboratories and provider platforms in establishing nationwide direct-to-consumer product offerings.

Value-Based Care and Managed Care Organizations

  • Counseled health care providers, health plans, and health care ventures in establishing value-based payment structures and managing associated licensing and regulatory requirements.
  • Represented a health center in establishing a clinically integrated behavioral health network for participating in Medicaid value-based care models.
  • Advised a consortium of behavioral health and human services organizations in establishing a clinically integrated network in anticipation of Medicaid program restructuring.
  • Represented a leading academic medical center in its negotiations and disputes with payors.
  • Advised a health insurer with respect to the sale of a Medicare Advantage plan.
  • Represented a health insurer in a novel financing and data-sharing transaction with a national research foundation.

Financing

  • Advised a leading academic medical center on a novel financing structure that included the securitization of Medicaid supplemental funds.
  • Represented health systems and other nonprofit organizations in or near default in negotiating consents and workouts with lenders and bond insurers.
  • Represented health systems, universities, and other institutions as borrowers’ counsel, handling substantially all financing matters.
  • Structured and restructured obligated groups and master indentures for multiple health systems.
  • Served as underwriters’ counsel for taxable and tax-exempt public offerings, and as bond counsel for public and private issuances.

Medicare and Medicaid

  • Represented health care providers in appeals and administrative hearings relating to alleged Medicare and Medicaid overpayments.
  • Counseled several of the nation’s leading children’s hospitals on the provider-based rules, rules relating to co-location of hospital facilities, and rules relating to sharing of hospital space.
  • Advised an academic medical center with respect to compliance with federal and state rules relating to intergovernmental transfers and Medicaid supplemental funding.

Clinical Laboratories

  • Regularly advised clinical laboratories with respect to licensing, certification, reimbursement, and FDA compliance.
  • Advised a leading multistate health system in evaluating and redesigning its network of laboratories for hospital, physician group, and outreach testing.
  • Represented a national independent laboratory in multiple, high-stakes Medicare and Medicaid appeals, including proceedings before administrative law judges and related litigation.
  • Counseled a leading research institute in establishing a clinical laboratory.
